SAN RAMON, CA — John Muir Health has entered into a definitive agreement to acquire sole ownership of San Ramon Regional Medical Center, the Walnut Creek-based hospital network announced Wednesday. JMH has owned a 49% interest in SRRMC since 2013. Under the new agreement, it will acquire the remaining 51% from Dallas-based Tenet Healthcare for roughly $142.5 million.

The transaction is subject to various closing conditions, including review by the Federal Trade Commission. The parties expect to close the transaction at some point in 2023.

John Muir is a nonprofit health care organization that runs a network of more than 1,000 primary care and specialty physicians in the East Bay, notably John Muir Medical Center, Walnut Creek and John Muir Medical Center, Concord. By acquiring sole ownership of SRRMC, the network said it will be able to further enhance community care through:

  • Integrating SRRMC into their electronic health record system.
  • Extending JMH quality enhancement and population health programs.
  • Making investments in facilities at SRRMC.
  • Extending JMH nonprofit community benefit programs to SRRMC.
  • Eliminating duplicative administrative expenses.

“We believe that this acquisition is good for our community, caregivers, patients, and John Muir Health and San Ramon Regional Medical Center,” JMH CEO and President Mike Thomas said in a news release. “We view this as a long-term opportunity to expand our services and better serve the growing populations in the San Ramon Valley and Tri-Valley. By allocating fixed costs over a broader scope of operations, we will also improve cost effectiveness for patients and health plans.”
