FL Businesses Face Midnight Filing Deadline For Annual Reports
Florida companies and nonprofits have until midnight Tuesday to file their annual report under an extension granted for the coronavirus.
TALLAHASSEE, FL — Florida companies and nonprofits h—ave until midnight Tuesday to file their annual report under an extension granted for the coronavirus crisis.
"Any profit corporation, limited liability company, limited partnership or limited liability limited partnership annual report filing will have until 12:01 am on July 1, 2020, before a $400 late fee is assessed," according to officials with the Florida Secretary of State's office. "Not for profit corporations are not subject to the $400 late fee."
Companies and nonprofits can file their annual report here. Companies that have closed do not need to file the annual report.

Miami attorney David Winker said companies don't need a lawyer or accountant to file their annual report and the process should take only a few minutes.

"Everyone is so used to filing it in the spring — and the spring was so crazy — it's just important to review to insure that it doesn't slip through the cracks because it's a stiff $400 fine if you don't get it tonight," Winker told Patch.
State law requires that an annual report be filed each year for business entities to maintain an active status with the Florida Department of State.
"It is required, whether or not you need to make changes," state officials said.
Filers will be asked to provide a document number to file the report. Refer to your notice or search state records to find the number.
The filing fee is $150 for a profit corporation, $61.25 for a nonprofit corporation, $138.75 for a limited liability company and $500 for a limited partnership or limited liability limited partnership.
